Position Description

Under the direction of the General Counsel, the Paralegal is responsible for providing direction, guidance, and assistance on legal matters related to Saint Francis Healthcare System and its operating entities within multiple areas of expertise including, but not limited to physician contracts, vendor contracts, regulatory compliance, healthcare law, corporate governance, litigation risk, claims and insurance.

Draft Documents - Prepare various draft agreements including employment agreements, collaborative practice agreements, supervision agreements, affiliation agreements, nondisclosure agreements, and business associate agreements. Draft various amendments, termination letters, and corporate resolutions.

Database Management - Maintain the contract management database, maintain the matters management database, and track contracts through their life cycle.

Deposition and Litigation Preparation - Prepare and manage the deposition calendar, litigation document analysis, filing deadlines, discovery, deposition related materials and subpoenas.

Review and Response - Review, monitor and respond to matters relating to risk, claims and insurance. Assist with and organize due diligence on transactions.

Filings - Prepare and secure timely corporate filings with the state.

Reports - Prepare reports displaying and measuring departmental performance metrics.

Other - Responsible for performing all other duties as assigned.

Position Requirements

Educational Requirements:

Paralegal Certification or Bachelor’s Degree in related field.

Additional Skills & Experience Requirements:

2 years of experience in corporate law office, law firm, or health law is preferred. Healthcare experience is preferred. Must possess highly effective written and verbal communication skills with the ability to relate directly, openly, and effectively with both internal and external constituencies. Strong negotiation skills and superb listening capabilities. Must possess the ability to work independently on routine matters.
However, is expected to seek guidance and accept supervision on more complicated matters or where substantial amounts of money or significant other risks to Saint Francis Healthcare System are involved. Must possess strong conceptual and analytical skills.
Strong interpersonal and consultative skills. Ability to deal tactfully with diverse people, situations and ideas and present advisory, persuasive and authoritative recommendations to all levels of the organization.

Other Skills and/or Knowledge Required:

The Paralegal should have broad knowledge of the healthcare industry, including, but not limited to, drafting physician contracts, vendor contracts, regulatory compliance, healthcare law, corporate governance, litigation risk, claims and insurance. The Paralegal should have complex problem solving skills and be able to work with multiple levels of management to achieve Medical Center strategic objectives.
